Adlabs Consultancy Solutions Pty Ltd (behalf of PayBell Payroll) (“Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your access to and use of our Software as a Service (SaaS) payroll application (“Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, do not use the Service.

  1. Acceptance of Terms

By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

  1. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. You are advised to review these Terms periodically for any changes. Your continued use of the Service following the posting of changes constitutes your acceptance of those changes.

  1. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account.

  1. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for your conduct and any data, text, information, usernames, graphics, photos, profiles, audio, video, items, and links that you submit, post, and display on the Service.

  1. Service Availability

We will use commercially reasonable efforts to make the Service available 24/7, except for planned downtime and any unavailability caused by circumstances beyond our reasonable control, including but not limited to, acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes, or other labor problems, or Internet service provider failures or delays.

  1. Fees and Payment

You agree to pay all fees specified in the subscription plan you selected. All fees are non-refundable. We reserve the right to change the fees or applicable charges and to institute new charges and fees at the end of the initial subscription term or then-current renewal term. All payments must be made in Maloti and are due upon receipt of the invoice.

  1. Data Privacy

Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and disclose personal information.

  1. Personal Information and Privacy

Personal information you provide to Adlabs CS (behalf of PayBell Payroll) through the Service is governed by Adlabs CS (behalf of PayBell Payroll) Privacy Policy. Your election to use the Service indicates your acceptance of the terms of the Adlabs CS (behalf of PayBell Payroll) Privacy Policy. You are responsible for maintaining confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by email to hello@paybellpayroll.com or by calling us on any of the numbers listed on https://www.paybellpayroll.com/contact-us/. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

  1. Communications

The Service may include certain communications from Adalbs CS (Behalf of PayBell Payroll), such as service announcements, administrative messages and newsletters. You understand that these communications shall be considered part of using the Services. As part of our policy to provide you total privacy, we also provide you the option of opting out from receiving newsletters from us. However, you will not be able to opt-out from receiving service announcements and administrative messages.

  1. Grievance Redressal

If you have a grievance or complaint regarding the Service, please contact our Customer Support team at hello@paybellpayroll.com or (+266) 5694 8487. You can also initiate a grievance by submitting a written complaint to the grievances officer Mr. Malefetsane Motsamai through the email motsamai[at]adlabscs.com.

  1. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. 

  1. Disclaimer of Warranties

You expressly understand and agree that the use of the services is at your sole risk. the services are provided on an as-is-and-as-available basis. Adlabs CS (behalf of PayBell Payroll) expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Adlabs CS (behalf of PayBell Payroll) makes no warranty that the services will be uninterrupted, timely, secure, or error free. use of any material downloaded or obtained through the use of the services shall be at your own discretion and risk and you will be solely responsible for any damage to your computer system, mobile telephone, wireless device or data that results from the use of the services or the download of any such material. no advice or information, whether written or oral, obtained by you from Adlabs CS (behalf of PayBell Payroll), its employees or representatives shall create any warranty not expressly stated in the agreement.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

  1. Indemnification

You agree to indemnify and hold harmless Adlabs CS (behalf of Paybell Payroll), its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney’s fees and costs) arising out of or relating to any claims that you have used the Services in violation of another party’s rights, in violation of any law, in violations of any provisions of the Agreement , or any other claim related to your use of the Services, except where such use is authorized by Adlabs CS (behalf of Paybell Payroll.

  1. Governing Law

These Terms shall be governed and construed in accordance with the laws of Lesotho, without regard to its conflict of law provisions.

  1. Intellectual Property

17.1 Ownership

All rights, title, and interest in and to the Service, including all intellectual property rights therein, are and will remain with Adlabs Consultancy Solutions Pty Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. These Terms do not grant you any rights to use the trademarks, logos, domain names, or other brand features of Adlabs Consultancy Solutions Pty Ltd without our prior written consent.

17.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. You agree not to use the Service for any other purpose without our prior written consent.

17.3 Restrictions

You agree not to:

  1. Copy, modify, or create derivative works based on the Service; b. Distribute, transfer, sublicense, lease, lend, or rent the Service to any third party; c. Reverse engineer, decompile, or disassemble the Service, except to the extent that applicable law expressly permits, despite this limitation; d. Make any part of the Service available to the public or any unauthorized users; e. Use the Service in any manner that infringes, misappropriates, or violates any intellectual property rights of any third party.

17.4 User Content

We respect your privacy and are committed to protecting your personal information. Any data, information, or other content that you upload, submit, or otherwise make available to the Service (collectively, “User Content”) will remain confidential and will not be shared with third parties except as necessary to provide the Service, comply with the law, or protect our rights. We will not sell, lease, or disclose your User Content

to any third party without your explicit consent. Your privacy is of utmost importance to us, and we strive to implement best practices to ensure your data is secure.

  1. Suspension and Termination

We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies.
